BY AGREEING TO OUR TERMS, YOU RELEASE US, AND OUR OWNERS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASE PARTY.

12.       LIMITED LIABILITY

IN NO EVENT WILL WE (INCLUDING, FOR THE PURPOSES OF THIS SECTION, OUR AFFILIATES, SUBSIDIARIES, PARENTS, SUCCESSORS AND ASSIGNS, AND EACH OF OUR AND THEIR RESPECTIVE OFFICERS, EMPLOYEES, AGENTS, AND OWNERS) BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST DATA, LOST PROFITS, OR FOR SERVICE INTERRUPTIONS, HOWEVER ARISING, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, WHICH ARISE OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF THE REMEDIES UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THE SERVICES SHALL NOT EXCEED (A) ANY UNDISPUTED AMOUNTS PAID TO US FOR WHICH A CLAIM ARISES; OR (B) ONE HUNDRED DOLLARS, WHICHEVER IS GREATER.

WE WILL NOT BE LIABLE TO YOU FOR ANY COMPENSATION, REIMBURSEMENT, OR DAMAGES ARISING IN CONNECTION WITH YOUR INABILITY TO USE THE SERVICES OR ANY CONTENT AVAILABLE THEREIN AS A RESULT OF SUSPENSION OR TERMINATION OF YOUR ACCOUNT OR ACCESS TO THE SERVICES, OR FOR ANY DOWNTIME, UNAVAILABILITY, OR INOPERABILITY OF THE SERVICES DUE TO ANY CAUSE BEYOND OUR REASONABLE CONTROL.

LIMITATIONS OF LIABILITY OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES MAY NOT APPLY BY LAW WHERE YOU RESIDE, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

13.       INDEMNIFICATION

You agree to defend, indemnify, and hold us (including for the purposes of this section, our affiliates, subsidiaries, parents, successors and assigns, and each of our and their respective officers, employees, agents, or owners) harmless from any claims, actions, suits, losses, costs, liabilities and expenses, including reasonable attorneys’ fees, relating to, or arising out of, or in any way connected to your access or use of the Services or any Content available therein, including but not limited to (a) your breach of the Terms, the Rules of Acceptable Use, or any Policy or document incorporated into these Terms; (b) your use (or misuse) of the Services or Content available therein; or (c) your use of any third-party website, product, or service which is linked to or from the Services. Notwithstanding your obligation to indemnify us, we will have sole control of the defense to any claim brought against us, in which case you agree to assist us and cooperate in the defense to the claim.

14.       DISPUTE RESOLUTION

You agree to attempt to resolve any dispute, claim, or controversy arising out of, or relating to these Terms, including its breach, interpretation, or validity, or use of the Services (each, a “Dispute”) by informal resolution. You must contact us at info@goldenbeaconusa.com to send us a "Notice of Dispute", including your name, address, email address, and a detailed description of the dispute and the relief you seek. If we have a Dispute with you, we will send a Notice of Dispute to the email address or other contact addresses associated with you or your Account.

If a Dispute cannot be settled informally between you and us within 30 days after a Notice of Dispute is received, you or we may resolve the Dispute by binding arbitration on an individual basis. Class actions and class arbitrations are not permitted, and you may only bring a claim on your own behalf. If there is a final court judgment that a claim cannot be arbitrated according to this Section, then that claim, and only that claim, may be brought in court and any other claims or requests for relief will be subject to this Section.

Depending on the claim, you or we may bring a claim in a local small claims court instead of using arbitration. If the rules of that court do not allow the claim, then the claim must be resolved by binding, individual arbitration. All arbitration proceedings will be conducted by the American Arbitration Association under its Consumer Arbitration Rules. We and you expressly waive a trial by jury.

We will pay all fees and costs for arbitration if we bring arbitration proceedings against you, or if your claims are timely and seek less than the limit for a general district court claim. Otherwise, all fees and costs for arbitration will be allocated according the arbitrator's rules.

Claims that do not need to be arbitrated, and may be brought in court include: Disputes related to intellectual property, such as copyright or trademarks; violations of our Rules of Acceptable Use (including the Community Guidelines Policy); and issues regarding the scope and enforceability of this Dispute Resolution Section.

You may opt out of this Section regarding arbitration within 30 days after the date you accepted these Terms by sending a written statement to info@goldenbeaconusa.com including your name, address, email address, and a clear statement that you wish to opt-out of the arbitration agreement in these Terms. If we change these Terms at a later time, you must send an opt out statement again within 30 days after you agree to the modified Terms.

This Dispute Resolution Section is governed by the Federal Arbitration Act.

15.       GOVERNING LAW & JURISDICTION

To the extent not preempted by or inconsistent with federal law, the laws of the State of Virginia will govern these Terms and any claim, without regard to its conflict of laws provisions. For any claim that is not arbitrated or resolved in small claims court, you agree to accept the jurisdiction and venue of the state and federal courts located in the State of Virginia, and each party waives any objection to jurisdiction and venue in such courts. However, if either party brings an action that does not need to be arbitrated, such as seeking injunctive relief to prevent the actual or threatened infringement, misappropriation or violation of its copyrights, trademarks, trade secrets, patents or other intellectual property, the action may be brought in any court having jurisdiction over the parties.

16.       COMPLETE AND ENTIRE AGREEMENT

These Terms constitute the entire and exclusive understanding and agreement between you and Golden Beacon regarding its subject matter, and supersede and replace any and all prior oral or written understandings or agreements between you and Golden Beacon regarding its subject matter.

The meaning and interpretation of these Terms is governed by the English language. Translations of the Terms into other languages is provided as a courtesy, but will not affect the meaning or interpretation of the Terms in English.

17.       BINDING EFFECT & ASSIGNMENT

These Terms are binding upon and inure to the benefit of the parties, their respective successors and permitted assigns. The rights granted to you under these Terms are personal, and you may not assign or transfer these Terms or your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. Any purported assignment or delegation in violation of this section will be null and void. We may assign or transfer these Terms or any of our rights, obligations, or licenses under these Terms at any time in our sole discretion, without restriction and without prior notice to you.

18.       NOTICES

Any notice to you which is related to these Terms may be provided by us to the email address you provided when registering your Account. We may also provide you notice via notifications by posting to the Site.

You may provide notice to us by emailing us at info@goldenbeaconusa.com with your name and a clear, detailed message about the notice, sent from the email address you provided when registering your Account, or by using any messaging functionality we provide for users to contact us through the Site.

Any email notices will be effective on the date they are delivered.

19.       WAIVERS

Any failure by us to enforce any right or any provision of these Terms will not constitute a waiver of our right to future enforcement of that right or provision. Any waiver by us must be made in writing and signed by a duly authorized representative.

20.       SEVERABILITY

Except as otherwise stated in these Terms, if a court of competent jurisdiction finds that any provision of these Terms, or compliance by any of the parties with any of its provisions is unlawful or unenforceable, the provision will be modified to the extent required to make it lawful and enforceable and effect the intent of the parties. If such modification is not possible, the unlawful or unenforceable provision will be severed from the Terms and the remaining provisions will remain in full force and effect to the maximum extent consistent with applicable law.
